This is an Agreement between you and Epoch Media Group (“EMG,” “us” or “we”) which includes NTD.tv and The Epoch Times, globally effective as of the date you sign this Agreement below, in which you agree to assign to EMG, and EMG agrees to receive from you, all rights, title and interest in and to certain visual or audio-visual content that you are providing to EMG.
You represent that you are the sole and exclusive owner of all rights, including copyright, in and to “the Material” being presented to us by you.
You hereby irrevocably grant a non-exclusive license to EMG for use of “the Material” for usage and distribution, in all media now known or hereafter devised, by Epoch Media Group, and its parent, subsidiary, and related companies and their affiliates, partners, licensees, successors, and assignees and in related advertising and promotion throughout the world in perpetuity. You agree to indemnify and hold harmless EMG, its parent, subsidiary and related companies, and their employees, officers, directors, affiliates, partners, representatives, agents, licensees, successors, and assignees from and against any and all claims, damages, liabilities, cost and expenses (including attorneys’ fees) arising out of their use of the Material in accordance with this license.
By submitting the Material to us and assigning the rights of the Material non-exclusively to EMG in accordance with the terms and conditions set out herein, you shall be given the opportunity to receive a prize of $300 from our monthly draw among the best videos. You hereby acknowledge the foregoing to be of good and valid consideration for all rights granted hereunder. The prize shall only become payable if and when the Material has been uploaded on EMG official Facebook pages for a period of forty eight (48) hours or longer and as a standalone (i.e. not part of a montage consisting of two (2) or more pieces of content) (the “Use”). Should the Prize become payable, EMG shall notify you via email, by phone or via social media and ask you to provide your payment details; and the Prize shall then be made to you within thirty (30) days following EMG’s receipt of such payment details from you. You shall provide EMG with the requested payment details within ninety (90) days, failing which the Prize shall no longer be payable. EMG shall not be liable for any late payment, should such late payment be due to your delay or failure to supply us with the required payment form. Should it arise that you have breached any of the terms set out in this Agreement (including the Warranties made by you herein) or if you fail to comply with your obligations under this Agreement, after the Prize has been paid to you by us, you shall be liable to return the Prize to us (in full and without any deductions of any kind whatsoever) within thirty (30) days of our notification of such breach to you in writing (which shall include email).
You understand and agree that all the Terms set out in this Agreement and your assignment of all rights in and to the Material shall remain in full force and effect (and i.e. remain the property of EMG in full and without any limitations of any kind whatsoever) regardless of whether the Material is featured on the Page or not, and regardless of whether the Prize is paid. EMG shall not be obliged to use the Material, however the assignment of rights set out herein shall remain valid and binding in consideration of the opportunity provided to you. You understand that we may be required to deduct amounts from the Prize, if required by law (including but not limited to any form of tax) and that sums may be deducted from the Prize due to payment charges (including but not limited to bank and/or wire transfer fees, PayPal fees or other service fees).
This is the complete and binding agreement between Epoch Media Group and you, and it supersedes all prior understandings and/or communications, both oral and written, with respect to this subject matter.
You understand that Epoch Media Group and its entities are under no obligation to use the Material. You have not given anything of value to Epoch Media Group in order that the Material, or any part of it, be included in any programming.
The Material will be uploaded to website and social media pages as well as all our international partner sites of Epoch Media Group. Our brands include The Epoch Times and NTD Television. We reach out to a global audience by uploading to our websites and social media pages in English, Chinese and 19 other languages.
